Global website, approved-commerce and trade terms for MARRQ Gin.
Last updated: 15 September 2026
MARRQ Gin ("MARRQ") is a brand of Monarca Vino S.R.L., Via Fratelli Cervi 31, 56045 Pomarance (PI), Italy ("Monarca Vino", "we", "us" or "our"). These Terms govern marrqgin.com, member applications, approved accounts, pre-orders and orders accepted through the website. Legal correspondence may be sent to legal@monarcavino.com.
1. Scope, acceptance and order of precedence
By using the website, creating or using an account, applying for trade or private access, submitting an order, or purchasing through an approved account, you accept these Terms and the policies linked from the website. If you act for an entity, you represent that you have authority to bind it. A signed distribution agreement, quotation, pro-forma invoice, invoice, Incoterm, or other written commercial agreement accepted by Monarca Vino prevails over these website Terms to the extent of a direct conflict.
2. Legal drinking age and lawful purchase
You must be of legal drinking age in every jurisdiction relevant to access, purchase, receipt, resale or service of MARRQ. You must not purchase for, transfer to or facilitate access by a minor. We may require age, identity, business, licence, tax or destination verification and may refuse access, supply or delivery where we are not satisfied that a transaction is lawful.
3. Approved commerce; no obligation to approve or supply
MARRQ does not operate an unrestricted public alcohol shop. Account approval, destination approval, product allocation, price access and continued trade access are discretionary. We may approve, limit, suspend or decline an application or account based on territory, licensing, inventory, route to market, brand positioning, payment risk, compliance, sanctions, carrier availability or other legitimate business considerations. Approval of one transaction or destination does not oblige us to approve another.
4. Accounts, credentials and authority
Information supplied to us must be complete, current and accurate. Accounts may be used only by the approved person or business and may not be sold, transferred, shared or used to evade territorial, pricing or approval controls. You are responsible for account activity and for promptly reporting suspected unauthorized access. We may require re-verification at any time.
5. Business buyers: status and local compliance
Wholesalers, distributors, importers and other trade buyers confirm that they purchase in the course of business and not as consumers. Unless a written agreement expressly states otherwise, the business buyer is responsible for all local licences, registrations, product approvals, import permissions, tax, customs, excise, warehousing, age verification, resale restrictions, local-language labelling, advertising rules and route-to-market obligations in its territory. A buyer must not market or resell MARRQ into a country, state or region that has not been approved in writing.
6. Private buyers
Private purchase access is exceptional and destination-specific. Approval for one country, state, region or address does not authorize another. A change of destination may require a new review. Where the buyer is legally a consumer, mandatory consumer protections applicable to that buyer remain in force notwithstanding any contrary wording in these Terms.
7. Product, packaging and availability
Website images and descriptions are illustrative. Batches, closures, packaging materials, label placement, presentation boxes and minor specifications may evolve. Minor non-material variations are not defects and do not create a right to reject, return or obtain a discount. Products and allocations are subject to availability until accepted for fulfilment.
8. Pricing, taxes, duties and errors
Pricing may vary by account type, quantity, territory, currency, tax status, freight arrangement or written commercial terms. Unless expressly stated otherwise, prices exclude taxes, customs duties, excise, brokerage, storage, demurrage, insurance and destination charges. Obvious pricing, product or system errors do not bind Monarca Vino; we may correct an error or cancel an affected unfulfilled order and refund the amount actually paid for the cancelled quantity.
9. Orders and contract formation
An order submission, payment authorization or automated acknowledgement is an offer to purchase and does not by itself oblige Monarca Vino to supply. We may hold, reject, reduce, split or cancel an order before acceptance. Unless a separate written agreement provides otherwise, an order is accepted when we issue an express acceptance or commence fulfilment. If we permanently decline an unfulfilled paid order before acceptance, our obligation is limited to refunding the amount received for the declined quantity.
10. Payment, set-off and chargebacks
Payments may be processed by Stripe or another approved provider. You may not deduct, set off or withhold amounts due unless required by law or agreed in writing. Business buyers must first give written notice of a bona-fide payment dispute and a reasonable opportunity to investigate before initiating a chargeback. A wrongful or abusive business chargeback is a material breach and, to the fullest extent permitted by law, the business buyer is responsible for resulting processor fees, collection costs and reasonable enforcement expenses. Nothing in this clause limits a non-waivable payment-dispute right of a consumer.
11. Pre-orders, allocations, release timing and final-sale treatment
A product described as a "Pre-Order", "Advance Order", "Coming Soon" or similar may be charged before release or shipment. Any production, bottling, release, fulfilment, customs-clearance or shipping date is an estimate unless expressly guaranteed in a signed writing. Monarca Vino may allocate limited stock among customers, reduce quantities, make partial shipments or move a release window where supply or compliance conditions require it.
Pre-orders may be delayed by production, packaging, component supply, allocation, quality review, export or import formalities, customs, licensing, regulatory review, carrier capacity, port congestion, weather, strikes, transport disruption, sanctions, government action or other events outside or within the ordinary complexity of international alcohol distribution. For business buyers, time is not of the essence unless expressly agreed in writing. To the fullest extent permitted by law, delay alone does not entitle a buyer to damages, penalties, interest, price reduction, lost-profit compensation or consequential loss. Where mandatory law gives a consumer a right to cancel or receive a refund because of delay, that right prevails.
If Monarca Vino determines that a pre-ordered quantity will never be supplied, it may cancel the affected unfulfilled quantity. Subject to mandatory law, the buyer's sole monetary remedy for that cancelled quantity is return of the amount actually paid for it, without interest or additional compensation.
12. Shipping, customs and delay
Shipping and delivery estimates are not guarantees unless expressly stated as guaranteed in writing. International orders may be held by customs, excise, inspection, carrier, port, licensing or regulatory authorities. Business buyers bear the risk of delays caused by missing or inaccurate buyer documents, local import restrictions, customs clearance, duties, destination licensing or consignee failure. Storage, re-delivery, demurrage, return freight or destruction costs caused by a business buyer's failure may be charged to that buyer to the fullest extent permitted by law.
For business orders, Monarca Vino is not liable for delay caused by carriers, customs, ports, regulatory authorities, supply interruption, force majeure or other causes beyond reasonable control, and such delay does not by itself constitute a material breach. For consumer orders, mandatory delivery and refund rights remain unaffected.
13. Risk and title
For B2B sales, risk passes as stated in the applicable quotation, invoice or Incoterm. If no written delivery term is stated, risk passes, to the fullest extent permitted by law, when the goods are handed to the first carrier for transport to the buyer. Title remains with Monarca Vino until all amounts due for the relevant goods are received in cleared funds where retention of title is legally effective. Consumer risk passes according to mandatory consumer law.
14. Returns, cancellations and credits
14.1 B2B / wholesale
All accepted B2B sales are final. Except for a proven defect or non-conformity for which a contractual or mandatory remedy applies, or where Monarca Vino gives prior written authorization, there are no cancellations, returns, exchanges, buy-backs, stock rotations, refunds or credits. This includes unsold stock, slow sell-through, retailer delisting, forecasting errors, market changes, buyer remorse, packaging preference, customs delay or carrier delay. No return may be made without written return authorization; unauthorized returns may be refused or held at the buyer's cost.
14.2 Private consumers
Monarca Vino does not provide a voluntary change-of-mind return policy. Where applicable law gives a consumer a mandatory withdrawal, cancellation, conformity, refund or defective-goods right, that mandatory right applies and is not waived. A pre-order does not eliminate a mandatory statutory withdrawal right merely because it is labelled a pre-order.
15. Inspection, damage and non-conformity
Business buyers must inspect deliveries promptly. To preserve contractual remedies, visible breakage, shortage or wrong items should be recorded with the carrier and reported to us within 48 hours of delivery; concealed defects should be reported promptly after discovery and, where practicable, within seven calendar days, with photographs, batch/lot information and supporting evidence. These contractual notice periods do not shorten a mandatory statutory period that cannot lawfully be varied. Remedies may include replacement, credit or refund at Monarca Vino's election where legally permitted.
16. Suspension, cancellation and allocation by Monarca Vino
We may suspend access, withhold shipment, reduce allocations or cancel unfulfilled orders for non-payment, fraud risk, inaccurate information, breach of these Terms, unauthorized resale, brand misuse, insolvency risk, sanctions, legal or regulatory concern, stock shortage, safety issue or circumstances making supply impracticable or unlawful. Where we cancel a paid unfulfilled quantity and no buyer breach justifies withholding, we will refund the amount received for that quantity as required by applicable law.
17. MARRQ trademarks and intellectual property
MARRQ™, the MARRQ word mark, stylized logos, bottle presentation, packaging, trade dress, photography, artwork, copy and other brand identifiers are proprietary trademarks, trade identifiers, designs, copyright works and/or other intellectual property of Monarca Vino S.R.L. or its licensors. Trademark registrations or applications may exist or be pending in one or more jurisdictions; the absence of a registration symbol does not waive any right.
No person receives ownership or an implied licence merely by buying MARRQ. You may not copy, imitate, modify, register, challenge, obscure, remove or misuse MARRQ branding; register or use a confusingly similar trademark, company name, domain name, marketplace name or social-media handle; bid on MARRQ marks in paid search; or use MARRQ assets in a manner suggesting sponsorship beyond your written authorization.
18. Trade brand licence and channel controls
An approved trade partner receives only a limited, revocable, non-exclusive, non-transferable licence to use current MARRQ assets solely to market genuine MARRQ products in its approved territory and channels, subject to our brand guidelines and written instructions. All goodwill arising from that use accrues solely to Monarca Vino. Trade partners must not relabel, repackage, refill, alter lot codes, conceal mandatory labels, co-brand, sublicense, sell on unauthorized marketplaces, conduct unauthorized cross-border resale or divert product outside the approved territory. The licence terminates immediately when approval or the commercial relationship ends.
19. Confidentiality
Non-public pricing, allocations, launch plans, customer lists, commercial terms, market strategy, portal content and other confidential trade information must be kept confidential, protected with reasonable care and used only for the approved relationship. These obligations survive termination.
20. Compliance, anti-bribery, sanctions and responsible marketing
Trade partners must comply with applicable alcohol, anti-bribery, sanctions, export-control, competition, advertising, privacy and age-protection laws. MARRQ must not be marketed to minors, associated with irresponsible consumption or promoted using misleading health or performance claims. We may immediately restrict supply or brand use where we reasonably identify legal, regulatory, brand or reputational risk.
21. Warranties and limitation of liability
Nothing excludes liability that cannot legally be excluded. Subject to that rule, the website and non-contractual content are provided without a guarantee of uninterrupted availability. For B2B relationships, Monarca Vino is not liable for indirect, incidental, special, punitive or consequential losses, loss of profit, loss of opportunity, loss of goodwill, retailer penalties or business interruption. To the fullest extent permitted by law, Monarca Vino's aggregate contractual and tort liability arising from a B2B order is limited to the net amount actually paid to Monarca Vino for the specific goods giving rise to the claim. Consumer statutory remedies are not limited where such limitation is prohibited.
22. Business-buyer indemnity
To the fullest extent permitted by law, a business buyer will indemnify and hold Monarca Vino and its officers, employees and affiliates harmless from third-party claims, fines, duties, losses and reasonable costs arising from the buyer's unlawful importation, storage, advertising, resale, unauthorized territory sales, relabelling, brand misuse, breach of licence, failure to verify age, or breach of applicable local law, except to the extent caused by Monarca Vino's own non-excludable liability.
23. Force majeure
Monarca Vino is not responsible for delay or failure caused by events beyond reasonable control, including severe weather, natural disaster, fire, epidemic, labour dispute, war, terrorism, cyber incident, sanctions, government action, regulatory change, energy interruption, material or component shortage, production interruption, carrier restriction, customs action, port congestion or supply-chain disruption. Obligations affected by such an event are suspended for the duration of the event to the extent permitted by law.
24. Governing law and forum
These Terms are governed by Italian law, excluding conflict-of-laws rules. For B2B relationships, the courts of Pisa, Italy have exclusive jurisdiction unless a signed written agreement provides otherwise. If a consumer has mandatory rights to the law or courts of the consumer's habitual residence that cannot be waived, those mandatory rights prevail.
25. Regional mandatory-consumer schedule
This section does not create extra rights; it identifies important non-waivable rules that may override the general no-voluntary-returns position.
26. Severability, waiver, assignment and changes
If a provision is invalid or unenforceable, it is modified to the minimum extent necessary and the remaining provisions continue. A failure to enforce a right is not a waiver. Business buyers may not assign an account, order or agreement without our written consent; Monarca Vino may assign rights and obligations within a corporate reorganization or sale of the relevant business to the extent permitted by law. We may update these Terms prospectively; the version accepted for an order governs that order unless mandatory law requires otherwise.
